Notice to Suppliers: Upcoming Legal Entity Changes
Action Required: For background, please see DuPont’s separate announcements regarding its intent to separate its Electronics Business by way of a spin off transaction* and its entry into a definitive agreement to sell its Aramids Business**.
In anticipation of these transactions, DuPont is internally separating its Electronics and the Aramids Business (“the Businesses) into dedicated legal entities effective October 1, 2025. These internal separations will result in certain changes that impact you and will require you to update your systems and/or processes. After October 1, 2025, all invoices submitted to the legal entities listed must have all the proper legal entity information. To minimize the risk of delays in payment or receipt of goods, please review the information and update your records as appropriate.
* On January 15, 2025, DuPont de Nemours, Inc. (“DuPont”, or after the completion of the Intended Electronics Separation, “New DuPont”) announced it is targeting November 1, 2025 to complete the intended separation of its Electronics business (the “Intended Electronics Separation”) by way of a spin-off transaction, thereby creating a new independent, publicly traded electronics company (“Qnity Electronics, Inc.”).
The Intended Electronics Separation will not require a shareholder vote and is subject to satisfaction of customary conditions, including final approval by DuPont's Board of Directors, receipt of tax opinion from counsel, the completion and effectiveness of the Form 10 registration statement filed with the U.S. Securities and Exchange Commission, applicable regulatory approvals and satisfactory completion of financing. ** On August 29, 2025, DuPont announced a definitive agreement to sell the aramids business to Arclin, a portfolio company of an affiliate of TJC LP, (“TJC”). The transaction is expected to close during the first quarter 2026 subject to customary closing conditions and receipt of regulatory approvals. See the news release for more information.
